1- Definitions:
"Seller" refers to METESER OTOMASYON End. Malz. San. Tic. Ltd. Şti; "Buyer" refers to the individual, company, or organization placing the order; "Goods" refer to the products described in the Seller's offer; "Services" refer to the services defined in the Seller's offer.
2- Order Acceptance Conditions:
All orders must be placed in writing and are subject to these Standard Terms and Conditions of Sale. Any conditions put forward by the Buyer, as well as any statement, warranty, guarantee, or declaration not included in the Seller’s price offer or order confirmation, shall not be binding on the Seller unless expressly accepted by the Seller. An order becomes effective on the date when the Seller confirms receipt of the Buyer's written order, or when all conditions specified in the offer for the order to take effect are met, whichever occurs later. No modifications or corrections related to the order shall be valid unless agreed upon in writing by both parties.
3- Price Offer and Validity Period:
The Seller’s price offer shall remain valid for the duration specified in the quotation. If no validity period is stated, the offer shall be valid for 30 days from the offer date.
4- Payment:
Payment shall be made without any set-off, counterclaim, or deduction (except where legally mandated) and under the following conditions unless otherwise specified by the Seller's Finance Department. Offers are provided in Turkish Lira (TRY), Euro (EUR), or US Dollars (USD). Unless otherwise stated, invoices will be issued in Turkish Lira based on the Central Bank’s foreign exchange selling rate on the invoice date, and payments shall be made in Turkish Lira. For advance payments, the exchange rate on the payment date will apply. The payment term specified in the price offer shall be valid, and if no term is stated, payment must be made within 7 days from the invoice date. The Seller reserves the right to apply a monthly late payment interest of at least 3% or as permitted by applicable laws for overdue amounts. If the Buyer delays any payment, the Seller has the right to demand a cash guarantee equal to the remaining outstanding balance.
5- Delivery Time:
Unless explicitly stated otherwise in the Seller’s price offer, all delivery or completion periods start from the date the order is accepted in writing. If the Buyer or its representatives delay or prevent the Seller from fulfilling its obligations under the order—such as failing to provide necessary technical specifications, drawings, or other required information—the delivery/completion time and the order price will be adjusted accordingly. If delivery is delayed due to the Buyer's actions or omissions, or if the Buyer does not accept the delivery despite being informed that the Goods are ready for shipment, the Seller shall have the right to store the Goods in a suitable facility at the Buyer’s expense, including storage and insurance costs.
6- Delivery, Risk, and Transfer of Ownership:
Unless otherwise specified in the Seller’s offer, the packaging cost is included in the price. However, unless otherwise stated, shipping costs for the Goods within Turkey are not included in the quoted price. The risk of loss or damage to the Goods transfers to the Buyer upon delivery, at which point the Buyer assumes responsibility for insuring the Goods.
7- Post-Delivery Defects and Warranty Periods:
The Seller will repair or replace, at its discretion, any defects caused solely by faulty materials or workmanship that occur under proper use, care, and maintenance and are reported within 24 months from the invoice date. Consumable items such as glass electrodes, membranes, and electrolytes are not covered under warranty. Defective Goods must be returned to the Seller within the warranty period at the Buyer's expense, including transportation and insurance costs. Repaired or replaced parts will be delivered by the Seller to the Buyer's location within Turkey at no cost or, if the Buyer is located outside Turkey, delivered FCA Istanbul. Any repaired, replaced, or corrected Goods and Services shall be covered under the original warranty period or 90 days from the return date, whichever is later. Goods and Services procured from a third party for resale shall only be covered under the original manufacturer’s warranty. The Seller shall not be liable for any defects resulting from normal wear and tear, Buyer-supplied or specified materials or workmanship, failure to comply with the Seller’s storage, installation, operation, or environmental requirements, lack of proper maintenance, unauthorized modifications or repairs, or the use of unapproved software or spare parts. Any costs incurred by the Seller for investigating and remedying such defects shall be paid by the Buyer upon request. The Buyer is solely responsible for the accuracy and adequacy of any information it provides.
8- Inspection, Testing, and Calibration:
The Goods shall be inspected by the Seller or manufacturer and subjected to standard pre-shipment tests. Any additional testing or inspection (including Buyer-performed inspections or tests/calibration conducted in the presence of the Buyer or its representatives) or the provision of test certificates and/or detailed test results shall be subject to prior written approval from the Seller. The Seller reserves the right to charge for such additional costs. Claims regarding quantity shortages or incorrect deliveries must be made within 14 days of delivery; otherwise, they shall be deemed invalid.
